1. Introduction

These Terms of Service ("Terms") govern your access to and use of EndoFlow ("the Service"), a cloud-based endoscopy reprocessing workflow management platform operated by EndoFlow Pty Ltd ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

2. Service Description

EndoFlow provides a software-as-a-service platform for healthcare facilities to manage endoscope reprocessing workflows, track equipment lifecycle, monitor compliance with quality standards (including JCI), record staff training, and generate audit reports. The Service is designed to support operational efficiency and regulatory compliance in endoscopy departments.

3. Important Disclaimer

EndoFlow is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The Service is an administrative and workflow management tool only. It does not replace clinical judgment, manufacturer instructions for use (IFU), or established institutional reprocessing protocols. Users remain solely responsible for ensuring that all reprocessing activities comply with applicable regulations, manufacturer guidelines, and institutional policies.

4. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorised access or use
  • Ensuring that your use complies with your organisation's policies and applicable laws

5. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You shall not:

  • Use the Service to store or transmit malicious code or harmful content
  • Attempt to gain unauthorised access to the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service in any manner that could damage, disable, or impair the Service
  • Share account credentials with unauthorised individuals
  • Use the Service to process data in violation of applicable privacy or data protection laws

6. Subscription and Billing

Access to the Service is provided on a subscription basis. Subscription fees, billing cycles, and payment terms are as specified in your subscription agreement or as displayed at the time of purchase. Unless otherwise stated:

  • Subscriptions renew automatically at the end of each billing period
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • Fees are non-refundable except as required by applicable law
  • We reserve the right to modify pricing with reasonable notice

7. Your Data

You retain all rights to the data you enter into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited licence to process Your Data solely for the purpose of providing and improving the Service. You are responsible for:

  • The accuracy and legality of Your Data
  • Ensuring you have appropriate consent or authority to input any personal or patient-related information
  • Maintaining appropriate backups of Your Data

Upon termination of your account, you may request export of Your Data for a period of 30 days. After this period, Your Data may be permanently deleted.

8. Intellectual Property

The Service, including all software, design, text, graphics, and other content (excluding Your Data), is owned by us or our licensors and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription period.

9. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. Support is provided in accordance with your subscription plan.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" without warranties of any kind, whether express or implied
  • We do not warrant that the Service will be error-free, secure, or uninterrupted
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from these Terms or use of the Service shall not exceed the fees paid by you in the twelve months preceding the claim

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the agreement by providing written notice. We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, your right to access the Service ceases, subject to data export provisions in Section 7.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
